Agreement

These Terms of Service (the "Agreement" or "Terms") are entered into between you ("you," "your," or "User") and Freeze Time Inc., a Delaware corporation doing business as PrecisionTrader ("PrecisionTrader," "we," "us," or "our"). By accessing or using the PrecisionTrader platform (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use the Service.

1. Description of Service

What PrecisionTrader Is:

PrecisionTrader is a web-based trading workflow tool designed to help retail traders manage equity and options orders through TradeStation Securities, Inc. ("TradeStation"). The Service provides order entry interfaces, risk management tools, trade journaling, real-time market data visualization, and an optional PrecisionAI feature that uses artificial intelligence for educational workflow support.

What PrecisionTrader Is NOT:

We are NOT a registered investment adviser, broker-dealer, futures commission merchant (FCM), introducing broker, investment company, or any other regulated financial entity. We do NOT provide investment advice, hold customer funds or securities, execute trades, or make discretionary trading decisions on your behalf.

2. Eligibility and Account Registration

  • You must be at least 18 years old and a legal resident of the United States.
  • You must have a valid TradeStation brokerage account in good standing.
  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You may not share your account or allow unauthorized access.
  • You must notify us immediately of any unauthorized use or security breach.

We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion for any reason, including violation of these Terms, suspected fraud, or unlawful activity.

3. No Investment Advice or Recommendations

NOT INVESTMENT ADVICE:

PrecisionTrader does NOT provide investment, financial, legal, tax, or accounting advice. All information, data, charts, indicators, order templates, preset configurations, trade signals, alerts, AI-generated responses from the PrecisionAI, or any other content provided through the Service is for informational and educational purposes only. You are solely responsible for evaluating the merits and risks of any trading decision. Nothing in the Service constitutes a recommendation, solicitation, or offer to buy or sell any security, option, futures contract, or other financial instrument. You should consult a licensed financial adviser, accountant, and/or attorney before making investment decisions.

Third-Party Content:

Any links to third-party websites, tools, or resources are provided for convenience only. We do not endorse, verify, or assume responsibility for third-party content.

3A. PrecisionAI and Artificial Intelligence

The Service includes an optional "PrecisionAI" feature that uses artificial intelligence to help you review your trading workflow, journals, rules configuration, and related account context. This feature is educational and informational only.

Not Advice; AI Limitations:

Responses from the PrecisionAI are generated by automated systems and third-party AI models. AI-generated analysis may contain inaccuracies, omissions, or limitations. Such content does NOT constitute investment, financial, legal, tax, or accounting advice, and is NOT a recommendation to buy, sell, or hold any security or to place any order. You must independently verify any information before relying on it for trading or financial decisions.

No Autonomous Trading:

The PrecisionAI does NOT place trades, modify orders, or execute transactions on your behalf. All order instructions remain user-initiated as described in Section 5.

Your Inputs:

You control what you send to the PrecisionAI. Do not submit information you do not want processed. We may use your messages and related account context (such as trading rules, rule violations, and journal entries associated with your account) to generate responses, as described in our Privacy Policy.

Third-Party AI Providers:

We use third-party AI service providers to operate this feature. Your prompts and related context may be transmitted to those providers for processing. Their services are subject to their own terms and policies.

4. Relationship with TradeStation

Required Disclosure:

PrecisionTrader is not affiliated or associated with, or a partner of, or an agent, representative, delegate, associated person, or introducing broker for, any TradeStation company. The products and services offered by PrecisionTrader are not sponsored, endorsed, sold or promoted by any TradeStation company, and TradeStation makes no representation regarding any products or services provided by PrecisionTrader. Equities, equity options, and commodity futures products and services are offered by TradeStation Securities, Inc. (Member NYSE, FINRA, CME and SIPC).

Independent Third Party:

PrecisionTrader is an independent third-party application that integrates with TradeStation through their API developer program. We maintain a formal developer agreement with TradeStation to access their API.

Your Brokerage Relationship:

Your brokerage account is with TradeStation Securities, Inc., NOT with PrecisionTrader. Your relationship with TradeStation is governed by their customer agreements, disclosures, and risk statements. TradeStation applies its own authentication, authorization, risk checks, order validation, and compliance controls before accepting any order. For questions about order execution, trade confirmations, account balances, statements, or brokerage services, contact TradeStation support directly. When using the Service to access TradeStation, you must comply with their terms of service, acceptable use policies, and API usage guidelines.

5. How the Service Works (Non-Discretionary)

User-Initiated Orders:

PrecisionTrader is a non-discretionary tool. Every order instruction is initiated and confirmed by YOU in the user interface. When you click "Buy / Sell" buttons (or equivalent), the Service transmits your explicit instruction to TradeStation's API. We do NOT place trades autonomously, make discretionary decisions, or execute orders without your direct action.

Order Relay:

We act solely as a conduit, relaying your instructions to TradeStation's systems. Market conditions, system outages, API errors, network failures, or other technical issues may delay, prevent, or cause errors in order placement. You remain responsible for monitoring your positions and managing risk.

6. Optional Risk Controls and Auto-Close Features

PrecisionTrader offers optional risk management features (e.g., maximum daily loss thresholds, per-position loss limits) that you may enable in your account settings.

Opt-In Only:

These features are strictly opt-in. If—and only if—you explicitly enable and configure these controls, the Service MAY submit a market order to close an open position when your configured threshold is detected.

No Guarantees:

Market orders may experience slippage, partial fills, rejection by your broker, or failure to execute due to halts, illiquid markets, or system errors. You remain responsible for setting appropriate thresholds, monitoring your positions, and managing your risk. Automated risk controls do NOT guarantee prevention of losses or adherence to your risk parameters.

Alerts vs. Actions:

Some features (like "Max Daily Loss Alerts") issue notifications only and do NOT automatically close positions. Review each feature's description carefully before enabling.

7. Subscription Fees and Payment Terms

PrecisionTrader is a subscription-based service. Pricing, billing cycles, and payment terms are displayed on our Pricing page and during checkout.

  • Subscriptions auto-renew at the end of each billing period unless you cancel.
  • We use Stripe, Inc. as our payment processor. Your payment information is handled by Stripe in accordance with PCI-DSS standards.
  • All fees are non-refundable except as required by law or as expressly stated in our refund policy.
  • We reserve the right to change pricing with 30 days' notice. Changes apply to subsequent billing periods; your current period remains at the agreed price.
  • Free trials (if offered) may require a valid payment method. You will be charged when the trial ends unless you cancel beforehand.
  • Failure to pay may result in suspension or termination of your account.

8. Cancellation and Termination

Your Right to Cancel:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you may continue to use the Services until then. No refunds for partial months unless required by law.

Our Right to Terminate:

We may suspend or terminate your access immediately, without prior notice, for:

  • Violation of these Terms or any applicable law.
  • Fraudulent activity, payment disputes, or chargebacks.
  • Abusive, harmful, or disruptive conduct.
  • Any reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately.

Provisions in this Agreement that by their nature should survive termination or cancellation (intellectual property, indemnification, disclaimers, limitations of liability, governing law) remain in effect.

9. Intellectual Property Rights and License Grants

Ownership:

The Service, including all software, content, and other materials including but not limited to designs, logos, texts, graphics, pictures, information, data, and sound files, is owned by Freeze Time Inc. and are either registered/protected copyrights, trademarks, or other protected trade secrets and intellectual property in the United States and internationally of Freeze Time, Inc. (or third parties, as applicable).

Limited License Grant to User:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial trading activities, subject to these Terms. The right to access and use the Service is limited to the purposes described in these Terms and Freeze Time, Inc. reserves all other rights in the Service. Any access, use, or attempted access or use of the Service other than as expressly permitted herein is a material breach of this Agreement.

License Restrictions - You may NOT:

  • Copy, modify, reverse-engineer, decompile, disassemble, or create derivative works of the Service.
  • Rent, lease, sell, sublicense, or distribute access to the Service.
  • Use automated tools (bots, scrapers) to access the Service without our written permission.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Share your account credentials or allow unauthorized access to your account.
  • Create multiple accounts to circumvent usage limits, free trial restrictions, or payment requirements.
  • Use the Service for any illegal purpose or in violation of any law.

User Data:

Any content, materials, software, data, or other information that you provide through the Service is your property. You hereby grant us a worldwide, limited, revocable, non-exclusive right and license to use and reproduce your data for the purposes of providing the Service, and in providing support and analysis for improvement of the Service, which we shall provide in accordance with these Terms and our Privacy Policy.

PrecisionTrader does hereby reserve the right to (i) collect, analyze, use, and retain data and other information relating to the provision, use and performance of various aspects of the Service and related systems and technologies (including, without limitation, information concerning User Data and data or works derived therefrom) ("Application Performance Data"), and (ii) collect, aggregate, and anonymize User Data ("Aggregated Data"). We shall be free (during and after account termination) to (i) use such information and data to improve and enhance the Service and for other development, diagnostic and corrective purposes in connection with the Service and other offerings, and (ii) disclose or sell such data solely in aggregate, anonymized, or other de-identified form.

User Feedback:

You hereby assign to us all right, title and interest in any feedback or suggestion provided by you, and we may freely use such feedback, suggestions, or ideas in any way, including in future modifications of the Service, other products or services, or advertising or marketing materials. In the event the foregoing assignment cannot be effectuated, you hereby grants PrecisionTrader a perpetual, worldwide, fully transferable, sublicensable, non-revocable, fully paid-up, royalty-free license to use, reproduce, prepare derivative works based upon, distribute, publicly perform or display, make, offer for sale, sell, and import products and services incorporating the feedback without restriction, and to otherwise exercise all rights in the feedback without restriction, including the right to sublicense such rights.

10. Acceptable Use Policy and Prohibited Conduct

You agree to use the Service lawfully and responsibly. You may NOT use the Service for any unlawful, harmful, or abusive purpose.

10.1 Illegal or Fraudulent Activity:

  • Violating any federal, state, or local laws, including securities regulations, anti-money laundering (AML) laws, or export control laws.
  • Engaging in market manipulation, wash trading, spoofing, layering, front-running, or other prohibited trading practices.
  • Using the Service to facilitate fraud, theft, embezzlement, or money laundering.
  • Impersonating any person or entity or misrepresenting your identity or affiliation.

10.2 Unauthorized Access or System Abuse:

  • Attempting to gain unauthorized access to the Service, other users' accounts, or our servers, networks, or databases.
  • Probing, scanning, or testing the vulnerability of any system or network, or breaching security or authentication measures.
  • Interfering with or disrupting the Service, servers, or networks, or creating an undue burden on our infrastructure.
  • Bypassing or attempting to bypass any security measures, access controls, rate limits, or usage restrictions.

10.3 Harmful or Malicious Conduct:

  • Uploading, transmitting, or distributing viruses, malware, ransomware, trojans, worms, spyware, or any other harmful code.
  • Using the Service to launch denial-of-service (DoS) attacks, phishing campaigns, or other cyberattacks.
  • Introducing any backdoors, time bombs, or other malicious functionality.

10.4 Abuse of Other Users:

  • Harassing, threatening, stalking, or intimidating other users, PrecisionTrader employees, or third parties.
  • Sending unsolicited messages, spam, or promotional content to other users.
  • Posting or transmitting hate speech, discriminatory content, or violent threats.

10.5 Misuse of Data or Content:

  • Scraping, harvesting, or collecting market data, user data, or other content for unauthorized purposes.
  • Republishing, reselling, or redistributing market data or Service content without proper licensing.
  • Using real-time or delayed market data in violation of exchange rules or data vendor agreements.

10.6 Compliance with Securities Laws:

As a user of a trading workflow tool, you are responsible for complying with all applicable securities laws and regulations, including:

  • SEC rules prohibit insider trading, market manipulation, and fraudulent practices.
  • FINRA rules governing customer conduct and trading practices.
  • Pattern Day Trader (PDT) rules and margin requirements.
  • Reporting requirements for large or suspicious transactions.

Violations may result in immediate account suspension or termination, referral to law enforcement, and legal action.

11. DMCA Notice and Procedure for Intellectual Property Infringement Claims

11.1 Copyright Compliance:

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. Unauthorized copying, reproduction, or distribution of copyrighted material is strictly prohibited.

11.2 Filing a DMCA Takedown Notice:

If you believe content on the Service infringes your copyright or other intellectual property, send a written notice to our Copyright Agent (legal@precisiontrader.tech) with:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the infringing material with sufficient detail to locate it.
  • Your contact information (name, address, phone, email).
  • A statement of good-faith belief that the use is not authorized.
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

11.3 Termination Policy:

We maintain the right to terminate accounts of users who have infringed on the copyright or other intellectual property rights of another user or any third party.

12. Data, Privacy, and Security

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

OAuth Access Tokens:

When you authorize PrecisionTrader to access your TradeStation account, you permit us to obtain transient OAuth access and refresh tokens. We do NOT store your TradeStation username or password.

Security:

We use industry-standard security measures (SSL/TLS encryption, secure token storage), but no system is 100% secure. You are responsible for safeguarding your login credentials and using strong, unique passwords.

13. Third-Party Services and Data Providers

The Service integrates with third-party services (e.g., TradeStation, Stripe) and may display market data licensed from third parties. Your use of third-party services is subject to their respective terms and privacy policies. We are NOT responsible for the availability, accuracy, reliability, or security of third-party service.

Further, it is your responsibility to take precautions to ensure that whatever links to third-party services or website you click on, or software that you download, whether from PrecisionTrader or other websites or applications, is free of such items as viruses, worms, trojan horses, defects and other items of a destructive nature. Our inclusion of hyperlinks does not imply any endorsement of the material on such websites or any association with their operators.

Market Data:

Real-time and delayed market data are provided by third-party vendors and exchanges. Market data is provided "as is" for informational purposes only. Data delays, errors, or outages may occur. Do not rely solely on displayed data; verify with your broker before trading.

14. Disclaimer of Warranties

"AS IS" AND "AS AVAILABLE":

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION:

  • Warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, or non-infringement.
  • Warranties regarding accuracy, reliability, completeness, or timeliness of data or content.
  • Warranties regarding the accuracy, completeness, or suitability of AI-generated responses from the PrecisionAI.
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of bugs or viruses.

Some jurisdictions do not allow exclusion of implied warranties, so the above exclusions may not apply to you. You may have additional rights that vary by jurisdiction.

15. Limitation of Liability

NO LIABILITY FOR TRADING LOSSES:

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRECISIONTRADER, ITS OWNERS, OPERATORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF, RELATING TO OR IN ANY WAY CONNECTED WITH:

  • Access to, display of or use of the Service or with the delay or inability to access, display or use the Service, including but not limited to your reliance upon opinions or information appearing on the Service.
  • Any computer viruses, information, software, linked websites operated by third parties, products or services obtained through this application
  • Trading losses, missed opportunities, lost profits, or diminution of account value.
  • Loss of data, goodwill, reputation, or other intangible losses.
  • Damages arising from errors, bugs, outages, delays, data inaccuracies, unauthorized access, or third-party failures.
  • Reliance on AI-generated responses, summaries, or suggestions from the PrecisionAI.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if we have been advised of the possibility of such damages. This limitation of liability reflects the allocation of risk between you and us. The limitations specified in this section will survive and apply even if any limited remedy specified in these terms of use is found to have failed of its essential purpose.

Maximum Liability Cap:

Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in subscription fees during the twelve (12) months preceding the claim.

Limitations Under State Law:

Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded or limited under applicable law (e.g., California Civil Code §1668).

16. Indemnification

You agree to indemnify, defend, and hold harmless PrecisionTrader and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service.
  • Your trading decisions and any resulting losses.
  • Your violation of these Terms or any applicable law or regulation.
  • Your infringement of any third-party rights (intellectual property, privacy, etc.).
  • Any disputes between you and TradeStation or other third parties.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

17. Electronic Communications and Signatures

By using the Service, you consent to receive communications from us electronically (email, in-app notifications, website postings). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Your electronic acceptance of these Terms (by clicking "I Agree," creating an account, or using the Service) constitutes your legally binding signature.

18. Modifications to Terms

We may modify these Terms at any time by posting the updated version on our website with a new "Last Updated" date. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription. For material changes that negatively affect your rights, we will make reasonable efforts to notify you (e.g., via email or in-app notice) at least 30 days before the changes take effect.

19. Governing Law and Dispute Resolution

Governing Law:

These Terms and any disputes arising out of or related to the Service shall be governed by the laws of the State of California, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Jurisdiction and Venue:

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in California, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Informal Dispute Resolution:

Before filing any formal legal action, you agree to first contact us at legal@precisiontrader.tech to attempt to resolve the dispute informally.

Class Action Waiver:

To the fullest extent permitted by law, you agree that any dispute will be resolved on an individual basis and NOT as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

20. Miscellaneous Provisions

Entire Agreement:

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and PrecisionTrader regarding the Service and supersede all prior agreements or understandings.

Severability:

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

No Waiver:

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment:

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure:

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or third-party service outages.

Export Controls:

The Service and underlying technology may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations.
